Mergers & Acquisitions
Stephen Dietrich works with executives and investors on private mergers & acquisitions. These may take the form of asset transactions, equity transactions or entity combinations (mergers). Stephen’s clients have included automobile dealerships, breweries, construction safety equipment manufacturers, orthodontic appliance producers, clothing manufacturers and ski resort operators. In addition, Stephen has worked with non-bank lenders or finance sources in working to monetize assets or businesses as a necessary solution to a transaction that did not work out.
“After practicing for more than 20 years, it is clear that much of the expertise in a private M&A transaction is project management. Many of the transactions include multiple business lines, financing, real estate and some form of third-party regulatory influence.
Much of the ‘art of the deal’ is in being able to understand how the different pieces need to fit together and when — which ultimately allows for the transaction to progress and complete. I have learned this particular project management skill as it pertains to the legal environment, and am able to apply it in many different environments.
I work to understand the unique nature of the particular industry or business, which is an absolute requirement, but then am able to apply the years of knowledge acquired over hundreds of deals to assist and advise clients through the process. I am also well versed in understanding when I need assistance on a subject or industry, and work well to integrate all of the needed skills and actors to orchestrate the transaction.”
